Effective Upon Access and Participation
By clicking this link, accessing this page, and/or participating in Telehealth Services, you acknowledge and agree that this document constitutes a legally binding informed consent, billing authorization, and assignment of benefits, even though you are not physically or electronically signing it.
If you do not agree, you must not proceed with the Telehealth Encounter.
DEFINITIONS AND ENTITY DISCLOSURE
For purposes of this document:

“MD Ally” means the applicable treating provider entity — MD Ally Telehealth Services, P.A. (Florida) or MD Ally Telehealth Services, P.C. (California) — each a HIPAA Covered Entity.

MD Ally Technologies, Inc. is a management services organization that provides administrative, technology, and operational support and does not provide medical care or bill for clinical services.
ACKNOWLEDGMENT OF RISK AND CARE OPTIONS
You acknowledge that you may have a serious injury or illness that could worsen without in-person or emergency medical attention, even if you feel fine at the present time. You understand the risks, benefits, and alternatives of available care options, including ambulance transport and evaluation at an emergency department, hospital, or other healthcare facility.
You understand that telehealth involves the provision of medical services remotely by a qualified healthcare professional using telecommunications technologies, such as video or telephone (“Telehealth Encounter”), and that Telehealth has inherent limitations, including a limited ability to respond to emergencies.
You understand that choosing Telehealth may increase the amount of time before you receive in-person evaluation or treatment. You acknowledge that in-person and emergency care are available and that you are voluntarily choosing Telehealth Services at this time.
NO GUARANTEE OF RESULTS
You understand and agree that MD Ally and its providers do not guarantee any diagnosis, treatment plan, outcome, or medical result from a Telehealth Encounter.
CONSENT TO TELEHEALTH AND PARTICIPANTS
By proceeding, you expressly consent to:

Receiving Telehealth Services from MD Ally Telehealth Services, P.A. and/or MD Ally Telehealth Services, P.C.;
-
The presence and participation of third parties during the Telehealth Encounter, including specialists, community paramedics, nurses, support staff, pharmacists, community resource providers, and health insurance personnel;
-
MD Ally obtaining, using, storing, and disclosing information about you, including clinical assessments, encounter documentation, bio-physiological data, images, video, audio, text messages, and other digital data, as permitted by Applicable Law; and
-
Follow-up contact by MD Ally or its partners for care coordination, education, quality, or satisfaction purposes.
Some participants may assist with coordination or support services and may not be acting as your treating clinician.
ASSUMPTION OF RISK
You knowingly and voluntarily assume risks associated with Telehealth Services, including limitations of remote assessment, potential delays in diagnosis or treatment, technology failures, interruptions, unauthorized access, and the possible need for escalation to in-person or emergency care.
RELEASE AND LIMITATION OF LIABILITY
To the fullest extent permitted by Applicable Law, you agree to release, indemnify, and hold harmless MD Ally, its providers, medical command physicians, medical command facilities, and third-party participants from claims arising out of:

Your decisions, including refusal or delay of recommended in-person or emergency care;
-
Inaccurate, incomplete, or omitted information you provide;
-
Limitations inherent in Telehealth Encounters; and
-
The use, failure, or unavailability of technology used in connection with Telehealth Services.
Nothing in this section limits or waives any rights you may have under applicable medical malpractice or professional liability law.
This section survives completion of the Telehealth Encounter.
ELECTION OF TELEHEALTH WITHOUT WAIVER OF FUTURE CARE
By proceeding, you acknowledge and agree that:

You are choosing Telehealth Services as an initial or interim form of care;

You may seek in-person or emergency medical care at any time before, during, or after the Telehealth Encounter; and
-
Receiving Telehealth Services does not limit or delay your right to seek in-person or emergency care.
Your provider may recommend escalation of care at any time, and you remain responsible for following or declining such recommendations.
PRIVACY AND RECORDING
You acknowledge receipt of MD Ally’s Notice of Privacy Practices. You consent to the use and disclosure of your health information for treatment, payment, and healthcare operations, and as otherwise permitted by Applicable Law.
To the extent permitted by law, you consent to audio or video recording of the Telehealth Encounter and acknowledge that recordings may be retained as part of your medical record.
BILLING AUTHORIZATION AND ASSIGNMENT OF BENEFITS
Assignment of Benefits
To the extent permitted by Applicable Law, you assign to MD Ally all rights to insurance or healthcare benefits payable for services actually rendered to you by the treating provider, including Medicare, Medicaid, commercial insurance, managed care plans, and other payers.
This Assignment of Benefits:

Authorizes direct payment to MD Ally;
-
Remains in effect until revoked in writing; and
-
Does not apply retroactively to services already provided.
This Assignment applies only to services actually rendered and does not apply to unrelated or future services beyond the scope of the Telehealth Encounter.
If any payer pays you directly, you agree to promptly remit those amounts to MD Ally.
Authorization to Bill, Appeal, and Release Information
You authorize MD Ally to submit claims, pursue appeals, and obtain, use, and disclose medical, billing, and insurance information as necessary for treatment, payment, healthcare operations, and care coordination, as permitted by law.
You authorize healthcare providers, insurers, governmental agencies, and others to release such information to MD Ally and its billing agents.
Financial Responsibility
You understand and agree that:

Insurance may pay less than the full billed amount or deny coverage;

You are responsible for amounts not paid by insurance, including copayments, coinsurance, deductibles, and non-covered services;
-
Telehealth coverage varies by plan and is your responsibility to understand; and
-
MD Ally may bill you directly for permitted outstanding balances.
If your insurance requires referrals or authorizations, you are responsible for obtaining them.
Collections
To the extent permitted by law, if collection action is required, you agree to pay reasonable collection costs, including attorneys’ fees.
STATE-SPECIFIC DISCLOSURES
You confirm that you are physically located in a state where the treating provider is licensed or authorized at the time services are provided.
- California: You acknowledge telehealth consent, recording notice, medical record access rights, and your right to withdraw consent at any time.
- Florida: You acknowledge Telehealth is not emergency care and consent may be withdrawn at any time.
- Texas: You understand Telehealth does not replace a primary care relationship and may be limited by law.
- Arizona: You acknowledge Telehealth limitations and available alternatives.
- Colorado: You acknowledge Telehealth is held to the same standards of care and confidentiality as in-person services.
ADDITIONAL TERMS
You acknowledge and agree that:

Providers may be at a different physical location;
-
You are responsible for providing accurate health information;
-
You are responsible for non-covered and connectivity charges;
-
Telehealth is not emergency care and you must call 911 in an emergency;
-
Either party may discontinue Telehealth if clinically inappropriate;
-
MD Ally does not provide continuous monitoring beyond the encounter; and
-
Providers may contact emergency services if necessary for your safety.
LEGAL EFFECT, GOVERNING LAW, AND SEVERABILITY
You represent that you are at least 18 years old or are a parent, guardian, or authorized representative.
This agreement is governed by the laws of the state in which the treating provider is licensed. If any provision is unenforceable, the remainder remains in effect.
THIS NOTICE DESCRIBES HOW MEDICAL INFORMATION ABOUT YOU MAY BE USED AND DISCLOSED AND HOW YOU CAN GET ACCESS TO THIS INFORMATION. PLEASE REVIEW IT CAREFULLY.
This Notice of Privacy Practices (the “Notice”) describes how MD Ally Telehealth Services, P.A. and MD Ally Telehealth Services, P.C., (collectively, “MD Ally Telehealth Services,” “we,” or “our”) may use and disclose your protected health information to carry out treatment, payment or business operations and for other purposes that are permitted or required by law. “Protected health information” or “PHI” is information about you, including demographic information, that may identify you and that relates to your past, present or future physical health or condition, treatment or payment for health care services. This Notice also describes your rights to access and control your protected health information.
USES AND DISCLOSURES OF PROTECTED HEALTH INFORMATION:
Your protected health information may be used and disclosed by our health care providers, our staff, and others outside of our office that are involved in your care and treatment for the purpose of providing health care services to you, to support our business operations, to obtain payment for your care, and any other use authorized or required by law.
TREATMENT:
We will use and disclose your protected health information to provide, coordinate, or manage your health care and any related services. This includes the coordination or management of your health care with a third party. For example, your protected health information may be provided to a health care provider to whom you have been referred to ensure the necessary information is accessible to diagnose or treat you.
PAYMENT:
Your protected health information may be used to bill or obtain payment for your health care services. This may include certain activities that your health insurance plan may undertake before it approves or pays for your services, such as: making a determination of eligibility or coverage for insurance benefits and reviewing services provided to you for medical necessity.
HEALTH CARE OPERATIONS:
We may use or disclose, as needed, your protected health information in order to support the business activities of this office. These activities include, but are not limited to, improving quality of care, providing information about treatment alternatives or other health-related benefits and services, developing or maintaining and supporting computer systems, legal services, and conducting audits and compliance programs, including fraud, waste and abuse investigations.
USES AND DISCLOSURES THAT DO NOT REQUIRE YOUR AUTHORIZATION:
We may use or disclose your protected health information in the following situations without your authorization. These situations include the following uses and disclosures: as required by law; for public health purposes; for health care oversight purposes; for abuse or neglect reporting; pursuant to Food and Drug Administration requirements; in connection with legal proceedings; for law enforcement purposes; to coroners, funeral directors and organ donation agencies; for certain research purposes; for allegations of certain criminal activities; for certain military activity and national security purposes; for workers’ compensation reporting; relating to certain inmate reporting; and other required uses and disclosures. Under the law, we must make certain disclosures to you upon your request, and when required by the Secretary of the Department of Health and Human Services to investigate or determine our compliance with the requirements of the Health Insurance Portability and Accountability Act (“HIPAA”). State laws may further restrict these disclosures.
MD Ally Telehealth Services is not a substance use disorder treatment program directly regulated by the federal privacy rules under 42 CFR Part 2; however, in the course of providing your care, we may receive information about your SUD treatment from such a program where you have consented to that program sharing your SUD records with us. We generally may use and disclose your SUD records as permitted by HIPAA as outlined in this Notice, except that your SUD treatment records, or testimony relaying the content of such records, will not be used or disclosed in civil, criminal, administrative, or legislative proceedings against you unless based on written consent, or a court order after notice and an opportunity to be heard is provided to you or the holder of the record, as provided in 42 CFR Part 2. A court order authorizing use or disclosure of your SUD records must be accompanied by a subpoena or other legal requirement compelling disclosure before the requested SUD record is used or disclosed.
USES AND DISCLOSURES THAT REQUIRE YOUR AUTHORIZATION:
Other permitted and required uses and disclosures will be made only with your consent, authorization or opportunity to object unless permitted or required by law. Without your authorization, we are expressly prohibited from using or disclosing your protected health information for marketing purposes. We may not sell your protected health information without your authorization. Your protected health information will not be used for fundraising. We will not use or disclose your psychotherapy notes without your authorization, except as permitted by law. If you provide us with an authorization for certain uses and disclosures of your information, you may revoke such authorization, at any time, in writing, except to the extent that we have taken an action in reliance on the use or disclosure indicated in the authorization.
YOUR RIGHTS WITH RESPECT TO YOUR PROTECTED HEALTH INFORMATION:
You have the right to request a restriction on the use or disclosure of your protected health information. Your request must be in writing and state the specific restriction requested and to whom you want the restriction to apply. We are not required to agree to a restriction that you may request, except if the requested restriction is on a disclosure to a health plan for a payment or health care operations purpose regarding a service that has been paid in full out-of-pocket.
You have the right to request to receive confidential communications from us by alternative means or at an alternate location. We will comply with all reasonable requests submitted in writing which specify how or where you wish to receive these communications.
You have the right to request to access, inspect, and copy your protected health information.
You have the right to request an amendment of your protected health information. If we deny your request for amendment, you have the right to file a statement of disagreement with us. We may prepare a rebuttal to our statement and we will provide you with a copy of any such rebuttal.
You have the right to receive an accounting of certain disclosures of your protected health information that we have made, paper or electronic, except for certain disclosures which were pursuant to an authorization, for purposes of treatment, payment, or healthcare operations (unless the information is maintained in an electronic health record); or for certain other purposes.
You have the right to obtain a paper copy of this Notice, upon request, even if you have previously requested its receipt electronically by e-mail.
REVISIONS TO THIS NOTICE:
We reserve the right to revise this Notice and to make the revised Notice effective for protected health information we already have about you as well as any information we receive in the future. You are entitled to a copy of the Notice currently in effect. Any significant changes to this Notice will be posted on our website.
BREACH OF HEALTH INFORMATION:
We will notify you if a breach of your unsecured protected health information is discovered. Notification will be made to you no later than 60 days from the breach discovery and will include a brief description of how the breach occurred, the protected health information involved and contact information for you to ask questions.
COMPLAINTS:
Complaints about this Notice or how we handle your protected health information should be directed to our HIPAA Privacy Officer. You may also submit a formal complaint to the Department of Health and Human Services, Office for Civil Rights. We will not retaliate against you for filing a complaint.

Clinical and Operational Services include AllyNet, which supports telehealth operations and healthcare workflows.

May involve PHI

Are subject to HIPAA and applicable healthcare laws

May be recorded for QA and administrative purposes
Additional agreements may apply. If there is a conflict, the platform-specific agreement controls.
3. ELIGIBILITY AND AUTHORITY
You represent that:

You have authority to bind yourself or the entity you represent

If applicable, you are authorized to use Clinical and Operational Services
4. ACCOUNTS AND SECURITY
You are responsible for:

Maintaining accurate account information

Protecting credentials

Complying with security requirements
The MSO may suspend or restrict access to protect security, privacy, or compliance.
5. LICENSE GRANT (ALLYNET)
Subject to these Terms and an applicable agreement, the MSO grants authorized Partners a limited, non-exclusive, non-transferable, non-sublicensable license to use AllyNet solely for internal business purposes.
6. LICENSE RESTRICTIONS
You may not:

Sell, sublicense, or transfer the Software
-
Permit unauthorized access
-
Reverse engineer or modify the Software
-
Use the Software for third-party benefit without permission
7. PHI AND DATA RULES
PHI may only be submitted through PHI-capable Services by authorized users.
PHI must not be submitted through Marketing Services.
Partners retain ownership of submitted data and grant the MSO rights to operate the Services and create de-identified data as permitted by law.
8. ACCEPTABLE USE
You may not:

Violate law or third-party rights

Upload malicious code

Attempt unauthorized access

Misuse or improperly disclose PHI
9. RESPONSIBLE USE IN HEALTHCARE SETTINGS
AllyNet supports healthcare operations but does not replace professional medical judgment.
Clinical decisions and care are provided solely by the Clinical Entities and their licensed professionals.
The MSO disclaims liability for medical decisions and clinical outcomes.
10. INTELLECTUAL PROPERTY
All intellectual property in the Services is owned by the MSO or its licensors. No rights are granted except as expressly stated.
11. DISCLAIMERS
Marketing Services are provided “as is” and are not medical advice.
Clinical and Operational Services are provided “as is” except as expressly stated in a governing agreement.
12. LIMITATION OF LIABILITY
To the maximum extent permitted by law:

No liability for indirect or consequential damages

Liability for Marketing Services capped at USD 50
-
Liability related to AllyNet governed by applicable agreements
13. INDEMNIFICATION
You agree to indemnify MD Ally for claims arising from misuse of the Services, unauthorized PHI submission, or violation of law.
14. TERMINATION
The MSO may suspend or terminate access for violations, security risks, or termination of underlying agreements.
15. DISPUTE RESOLUTION
Marketing Services disputes are subject to binding arbitration and class action waiver.
Medical services and PHI-related disputes are governed by patient agreements and applicable law and are not subject to consumer arbitration under these Terms.
16. GOVERNING LAW
These Terms are governed by the laws of the State of New York as they relate to Services operated by the MSO.
Medical services are governed by applicable healthcare laws based on provider licensure and patient location.
17. CHANGES TO TERMS
We may update these Terms by posting revisions. Continued use constitutes acceptance.

DISCLOSURE OF FINANCIAL INTERESTS AND REFERRALS
MD Ally Telehealth Services, P.A. and MD Ally Telehealth Services, P.C. (collectively, “MD Ally”) may refer patients to, and accept referrals from, persons or entities. Some of these persons or entities may have a direct or indirect ownership or financial interest in MD Ally, and MD Ally may also have a direct or indirect ownership or financial interest in some of the persons or entities to which referrals are made.
This disclosure is provided to inform patients and partners of these financial relationships. You are not required to receive services from, or be referred to, any particular provider, supplier, or entity, and you may choose any provider or service available to you. No benefits or services are conditioned on accepting or making any referral.
All referrals and financial relationships are structured and carried out in compliance with Applicable Law, meaning all applicable federal, state, and local laws, statutes, rules, regulations, and binding guidance governing healthcare services, referrals, financial relationships, fraud and abuse, patient choice, and disclosures, including the federal Anti-Kickback Statute, Stark Law, False Claims Act, HIPAA, and applicable state law counterparts.

Complaints and grievances
If you have a concern or complaint about your care, privacy, billing, or experience, you may submit a grievance. We encourage you to raise concerns so they can be addressed promptly.

MD Ally uses artificial intelligence (“AI”) technologies in limited, controlled ways to support certain operational and clinical support functions.
How AI is used
AI tools may be used to assist with, but is not limited to:

Human oversight
All AI-supported activities follow a human-in-the-loop model.
AI does not make independent medical decisions and does not replace evaluation, judgment, or care provided by licensed healthcare professionals.
Non-discrimination and fairness
MD Ally is committed to ensuring that the use of AI does not result in unlawful discrimination or bias. AI tools are implemented and monitored in a manner designed to support equitable care consistent with applicable civil rights laws, including Section 1557 of the Affordable Care Act.
Data privacy and security
All data processed using AI tools is handled in a HIPAA-compliant environment and in accordance with MD Ally’s Privacy Policy.
